1. Acceptance of Terms

By accessing or using the VeraCita platform, website, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you ("User", "you") and MindtheGap Sarl (CHE-398.557.351), operating under the VeraCita brand ("VeraCita", "we", "us"), a company incorporated in Geneva, Switzerland. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Service Description

VeraCita is an AI-powered verification intelligence platform. The Service enables users to:

• Upload documents for automated claim detection and verification
• Trace and assess the reliability of cited sources
• Identify unsupported, distorted, or fabricated claims
• Discover stronger alternative evidence from academic, institutional, and authoritative sources
• Generate detailed verification reports and risk profiles

The Service processes documents using a combination of client-side analysis and AI-powered assessment. Documents are processed in the user's browser and are not stored on our servers. See our Privacy Policy for full details on data handling.

3. Account and Credits

3.1 Account Registration

To use the Service, you must create an account using a valid professional email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3.2 Free Credits

New accounts receive 2,500 free verification credits. Free credits are provided for evaluation purposes and are subject to the same usage terms as paid credits. VeraCita reserves the right to modify or discontinue the free credit allocation at any time.

3.3 Credit Usage

Credits are consumed when you use verification features. The number of credits consumed depends on the complexity of the verification (document length, number of claims, depth of analysis). Credits are non-transferable between accounts and may not be resold, bartered, or exchanged.

3.4 Founder Program

The VeraCita Founder Program offers early adopters a one-time payment option with lifetime rate lock. Founder program benefits are as described at the time of purchase and are subject to the following conditions:

• Founder pricing is locked for the lifetime of the account
• Benefits apply to the purchasing account only and are non-transferable
• VeraCita reserves the right to close the Founder Program to new participants at any time
• Existing Founder members retain their benefits regardless of program status

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

• Submit illegal content: Upload or process documents that contain illegal material, including but not limited to content that violates intellectual property rights, privacy rights, or applicable laws.
• Automate access: Use bots, scrapers, or automated tools to access the Service, extract data, or consume credits without our explicit written permission.
• Reverse engineer: Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code, algorithms, or underlying technology of the Service.
• Resell or redistribute: Resell, sublicense, or redistribute credits, verification results, or access to the Service without our written consent.
• Overload the Service: Intentionally or negligently place excessive load on our infrastructure, including submitting unusually large volumes of documents in a short period.
• Misrepresent results: Falsely claim that VeraCita verification results constitute legal certification, regulatory compliance, or professional endorsement.

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.

5. Intellectual Property

5.1 Our Intellectual Property

The VeraCita platform, including its design, code, algorithms, branding, documentation, and all associated intellectual property, is owned by MindtheGap Sarl and is protected by Swiss and international copyright, trademark, and patent laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding.

5.2 Your Content

You retain full ownership of all documents you upload and all verification results generated from your content. VeraCita claims no ownership rights over your documents, analyses, or exported reports. We do not use your content to train AI models or for any purpose other than providing the Service to you.

5.3 Feedback

If you provide feedback, suggestions, or feature requests, you grant VeraCita a non-exclusive, royalty-free, perpetual license to use and incorporate such feedback into the Service without obligation to you.

6. AI Disclaimer

VeraCita provides AI-assisted verification intelligence. It is important that you understand the following:

• Informational only: Verification results are provided for informational purposes. They do not constitute legal advice, professional certification, or regulatory compliance validation.
• No guarantee of accuracy: While we strive for the highest quality of analysis, AI-powered verification is inherently probabilistic. We do not guarantee that results are complete, accurate, or free from error.
• Human judgment required: You are responsible for reviewing verification results and making your own final decisions. VeraCita is a tool to assist your judgment, not replace it.
• Evolving technology: AI models and search databases are updated over time. Results for the same document may vary between sessions as our technology improves and data sources are refreshed.

7. Payment and Refunds

7.1 Pricing

Current pricing is displayed on our website. All prices are in Swiss Francs (CHF) unless otherwise stated. Prices are exclusive of applicable taxes, which will be added at checkout where required by law.

7.2 Payment Processing

All payments are processed securely by Stripe. By making a purchase, you agree to Stripe's Terms of Service. We do not store your payment card details.

7.3 Founder Program Refund

Founder Program purchases include a 30-day money-back guarantee. If you are not satisfied with the Service, you may request a full refund within 30 days of your purchase date by contacting admin@veracita.ai. Refunds are processed to the original payment method within 10 business days.

7.4 Subscription Plans

Subscription plans are billed monthly. You may cancel your subscription at any time. Upon cancellation, you retain access to paid features until the end of your current billing period. No partial refunds are provided for unused portions of a billing period.

7.5 Credit Expiration

Credits expire according to the terms of your plan. Free credits expire 12 months after account creation. Paid credits expire according to the plan under which they were purchased. Expired credits are non-refundable.

8. Limitation of Liability

To the maximum extent permitted by Swiss law:

• VeraCita provides the Service "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
• VeraCita shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.
• VeraCita shall not be liable for any decisions made, actions taken, or outcomes resulting from reliance on verification results produced by the Service.
• In no event shall VeraCita's total aggregate liability exceed the amount you have paid to VeraCita in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless MindtheGap Sarl (operating as VeraCita), its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights.

10. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will endeavor to provide advance notice of planned downtime when feasible.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Switzerland, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Geneva, Switzerland.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify registered users by email and update the "Last updated" date at the top of this page. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
